If I can ever make any sense out of what post-it said, I'll let you know, but don't hold your breath, the chances are slim.
Anyway, let's try to keep the video encode you're happy with, but give it a fresh audio source to play with.
This all works on the assumption you still have your master export from Premiere handy.
Open your master file up in vdub, and under the file menu, select File Information.
Take a look at the audio info. The first thing under that should be sampling rate. note whether it is 44100 or 48000.
Next, also under file, select Save WAV. Give this file a unique name, and remember where you are saving it, as you'll need it in a minute.
Close the master file, and load your Divx with the problematic audio into vdub.
Settings:
Video: choose Direct Stream Copy
Audio:
Choose Full processing mode.
Now choose WAV Audio, and when the dialog box opens, select the WAV you just saved from your master.
Select interleaving. Enable should be checked
Settings: Preload 500ms Every 1 frames
Delay 0ms
Select Compression. Select Lame mp3.
Find the sampling rate you noted from your master file, be it 44.1 or 48Khz.
If you don't see the matching sample rate, check the "show all formats" box, and the list will get longer.
Choose the matching sample rate, 128kbps Stereo. No ABR stuff.
Hit ok.
Go back to the file menu, and select Save as AVI, and give this file a different name than your original one, so you don't overwrite it.
Test play the newly created file in WMP.

What this will do is keep the encoded video you're happy with intact, without recompression or colorspace conversion, but hopefully mix in the new, freshly made compressed audio with the existing video stream, and hopefully eliminate any weirdness with using incorrect sample rates, or any screwups caused by Divx or Lame or anything else when you compressed both at the same time.
I'm looking forward to seeing if this works. Hopefully, going through it this way will eliminate any overlooked variables, and give you a working file.
