Audio/general problems while converting wmv to avi

I'm having problems converting my wmv to avi. I've mainly tried with 2 programs and am happy for an answer to either problem.
The first is converting using STOIK. I've got the video working perfectly fine my problem is just the audio. It's really fuzzy and I don't know how to fix this or what other codecs I should try using. I did look up on this but someone just said use divx converter instead.
Which leads to my second problem. I tried using Divx after that and it seems to be working ok but it keeps on getting errors at about 50%+ completeion.

Any advice is really apriciated as I'm trying to encode this with the deadline for submission being today.

guessing its an export from WMM?
if not the export guide on wmm will help you in the same way to open a wmv in virtualdub through avisynth....
