If I'm not mistaken, CS5 requires a 64 bit OS, whereas CS4 does not. That might factor into your decision.

The simplest way I know is to simply use the Rate Stretch tool in Premier. If the original clip takes 1 second to complete, stretch it out over 2 minutes. Presto.
