TMPGEnc wouldn't use pulldown flags (that's what the 23.976 (internally 29.97) stuff means) if the file you gave it wasn't 23.976 or the template you're using wasn't *meant* for 23.976 (in TMPGEnc's Settings Wizard, 'NTSC Film' is meant for 23.976fps footage, use 'NTSC' for 29.97fps footage). Changing the framerate to a normal 29.97 won't put the file out of spec. That's just a generic warning because there are some options that you can use with TMPGEnc that aren't compatible with DVD if you modify them too much...but the convention templates aren't meant for DVD in the first place.
And IMO, HCenc is a better solution if you want MPEG-2 files for disc authoring anyway.
